1.1 Scope:Infrabyte agrees to provide the Customer with access to its software application (“the Service”) as hosted on Infrabyte’s servers.
1.2 Access:Infrabyte grants the Customer a non-exclusive, non-transferable right to access and use the Service during the term of this Agreement solely for the Customer’s internal business operations.
2. Customer Responsibilities
2.1 Use:Customer agrees to use the Service by this Agreement and all applicable laws and regulations.
2.2 Account Security:The customer is responsible for maintaining the confidentiality of their account credentials and for all activities that occur under the Customer’s account.
3. Fees and Payment
3.1 Fees:Customer agrees to pay the fees as specified in the applicable order form or pricing plan.
3.2 Payment:Fees are due and payable as specified in the order form. Infrabyte reserves the right to suspend access to the Service for non-payment.
4. Intellectual Property
4.1 Ownership:Infrabyte retains all rights, titles, and interests in and to the Service, including all intellectual property rights.
4.2 Customer Data:Customer retains all rights, title, and interest in and to any data or information submitted by Customer to the Service (“Customer Data”).

6. Term and Termination
6.1 Term:This Agreement shall commence on the date of acceptance and shall continue until terminated as provided herein.
6.2 Termination:Either party may terminate this Agreement upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within thirty (30) days after written notice thereof.
